Provider, scope, and formation of the agreement
Scanverion is a product and brand, not a separate legal entity. The Service is provided, operated, and invoiced by ECoding Slovakia s. r. o., Csermelyova 6, 929 01 Dunajská Streda, Slovakia, Company ID (IČO) 51 486 105, Tax ID (DIČ) 2120720041, VAT ID SK2120720041 ("ECoding", "we", "us").
These Terms, the information and price shown immediately before an order, the selected plan, the documentation, and the Data Processing Terms form the agreement between ECoding and the person or entity using the Service ("Customer", "you"). An individually negotiated written agreement or order takes precedence to the extent it expressly says so.
A free agreement is formed when you create an account and accept the Terms. A paid-plan order becomes binding when you expressly confirm the payment obligation; a paid plan or immediate plan change activates only after payment is confirmed. We may deliver the agreement and order confirmation electronically. If you act for an organization, you confirm that you are authorized to bind it.
The Service is intended primarily for business and professional use. If you are a natural person acting outside your business, trade, or profession, you are a "Consumer". Section 12 applies to Consumers and prevails over conflicting provisions of these Terms. These Terms do not restrict mandatory Consumer rights.

Service, accounts, and authorized users
Scanverion provides APIs, a dashboard, and related interfaces for analyzing documents, images, and supported data, including detection, classification, extraction, quality checks, and validation. Current documentation describes available functions, technical requirements, compatibility, supported formats, limits, credit costs, and response structures.
You must provide accurate and complete registration and billing information, keep it current, and protect passwords, sessions, API keys, and other credentials. You are responsible for authorized users' activity in your workspace and for configuring their roles and permissions appropriately, unless mandatory law provides otherwise. Notify us promptly of suspected unauthorized access.
You are responsible for your applications, integrations, end users, and instructions submitted through the account. You must not bypass credit, budget, capacity, rate, or file limits or technical safeguards.

Plans, credits, and billing periods
The current plan price, included credits, credit units, overage credit rate, maximum budget, and total price including applicable VAT are shown in the pricing page, dashboard, or order flow. Information displayed immediately before order confirmation controls that order.
The billing period is a calendar month. Included credits reset at the start of each period, do not roll over, cannot be exchanged for money, and expire when the period ends. Free, trial, or promotional credits may have additional restrictions disclosed in advance.
Paid plans renew automatically for each following calendar month until you cancel renewal or move to Free. A first purchase during a month is charged pro rata until the next month begins. A higher plan activates immediately after payment confirmation, and the prorated price difference for the rest of the period is charged. A lower plan, including Free, is scheduled for the start of the next period; the current plan remains active until then. You may cancel a scheduled change before it takes effect through the dashboard, where available, or by contacting ECoding.

Overage usage and budget limit
Processing normally stops after included credits are exhausted. Overage is optional and is enabled only while you have a valid reusable payment method with current payment authorization and separately set a monthly budget above EUR 0. Saving a payment method alone does not enable overage.
Overage credits are charged at the active plan's rate. The budget is the maximum overage amount you authorize for that period; it is not prepaid value or a service-availability guarantee. It cannot exceed the plan maximum and, once overage has accrued, cannot be reduced below the accrued amount. Further requests are rejected when the available budget is exhausted. Small differences caused by rounding to the smallest currency unit are possible.
By changing the budget, you expressly instruct us to charge actual overage usage up to the selected limit. Current usage and remaining authorization appear in the dashboard. You may set the budget to EUR 0 to disable further overage; charges already accrued remain payable.

Payments, VAT, and invoices
Payments are processed by Stripe or another payment provider identified at checkout. By saving and selecting a payment method, you authorize ECoding and the provider to make customer-initiated and subsequent recurring charges for monthly fees, prorated plan changes, actual overage, VAT, and other charges expressly confirmed before ordering. We do not process full card details entered directly into the provider's secure payment element.
Prices are in euros. Pricing may display net prices; before a paid order becomes binding, VAT and the total are determined from saved billing details, Customer status, and applicable tax rules. You are responsible for accurate address, country, VAT ID, and business-or-individual status. If incorrect or incomplete information changes the tax treatment, we may make corrections required by law.
ECoding Slovakia s. r. o. issues invoices; Scanverion may appear as the product. Invoices and credit notes are available electronically in the dashboard or delivered electronically to the billing contact. Payment is made when the payment provider confirms it.
If payment fails, further authentication or another payment attempt may be required. A paid plan does not activate before the first confirmed payment. For later non-payment, we may, after notice, restrict or suspend paid processing until the balance is paid; successful payment restores entitlement according to the current subscription state. Do not submit a duplicate payment while an earlier payment awaits confirmation.

Customer Content and personal data
"Customer Content" means documents, images, files, field definitions, other submitted data, and resulting outputs. As between the parties, you retain your rights in it. You grant ECoding and approved providers a limited, non-exclusive right to host, transmit, reproduce, and transform Customer Content only as needed to provide, secure, support, and maintain the Service, comply with law, and follow your documented instructions.
ECoding will not use Customer Content to train general-purpose or shared AI models without a separate written agreement. Aggregated or anonymized operational data may be used to operate, secure, and improve the Service only where it does not identify a Customer, individual, or confidential source content.
You confirm that you have the rights, permissions, notices, and legal bases needed to submit Customer Content and instruct its processing. The parties' GDPR roles, subprocessors, security, transfers, assistance, return, and deletion are governed by the Data Processing Terms.

Acceptable use
You must not use the Service to violate law or third-party rights; process data without authority; facilitate fraud, discrimination, unlawful surveillance, harassment, or identity theft; distribute malware; attack or disrupt systems; evade limits; probe vulnerabilities without written permission; reverse engineer where restriction is permitted by law; or resell a substantially identical standalone service without a written agreement.
You must not use the Service as the sole basis for a decision producing legal or similarly significant effects on a person where human review, explanation, or other safeguards are required, or in a safety-critical system where an error could cause death, injury, or substantial damage.
The public trial is only for non-confidential, non-sensitive sample materials. Do not upload real identity documents, special-category data, payment data, secrets, or production files.

AI output and Customer review
Machine-generated classifications, extracted fields, confidence values, detections, and validations may be incomplete or wrong. You must test the Service for your purpose, apply appropriate thresholds and validation, and arrange qualified human review where a result affects rights, compliance, safety, identity, eligibility, or a material decision.
The Service does not provide legal, financial, medical, sanctions, or regulatory advice and does not by itself verify identity. A technical result does not prove authenticity, ownership, legality, or identity unless an expressly ordered function says otherwise.

ECoding rights and license
ECoding and its licensors retain rights in the Service, APIs, software, models, documentation, designs, and brands, excluding Customer Content. During the agreement, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal purposes and in permitted customer-facing applications.
You may provide non-confidential feedback voluntarily, and ECoding may use it without restriction or payment. This does not grant ECoding rights in Customer Content or your confidential information.

Availability, maintenance, and changes
Unless a separate service level is agreed, we do not guarantee specific availability or response time. Maintenance, provider failure, security incidents, legal requirements, or circumstances beyond reasonable control may interrupt the Service.
We may change the Service to improve features or security, adapt to technology, user volumes, providers, or legal requirements, or correct errors. A Consumer will not be charged extra for a change without express consent. We will notify a Consumer on a durable medium, reasonably in advance, of a change that more than negligibly impairs access to or use of the digital service, including the statutory right to terminate without charge unless we allow the unchanged, conforming service to remain available.
We may change these Terms for legal, security, or justified operational reasons. We will give at least 30 days' notice of a materially adverse change unless law or an urgent security need requires earlier effect. A Consumer may terminate without charge on the effective date of a unilateral change that adversely affects them; the notice will explain how.

Suspension, cancellation, and termination
You may cancel automatic renewal or schedule a move to Free through available account controls or by contacting ECoding. Cancellation normally takes effect at the end of the paid billing period; the paid plan remains active until then, and there is no automatic prorated refund. This does not affect a Consumer's withdrawal, price-reduction, or refund rights under section 12 or another statutory or expressly agreed right.
We may proportionately suspend access for non-payment, a security risk, unlawful use, material breach, threatened harm to the Service or others, or a binding legal request. Where reasonable and lawful, we will give advance notice and an opportunity to cure.
Either party may terminate for material breach not cured within 30 days after written notice, or immediately where cure is impossible, insolvency occurs, or law requires it. Access ends on termination, and charges accrued through termination remain payable. Data return, export, and deletion follow the Data Processing Terms, Service features, and legal retention duties.

Special Consumer rights
14-day withdrawal. A Consumer may withdraw from a distance agreement without giving a reason within 14 days after it is concluded. Before the deadline, send an unequivocal statement through the contact page, by email, or by post to ECoding. You may, but need not, use: "I hereby give notice that I withdraw from my agreement for the Scanverion service concluded on [date]. Name, address, email, date."
If a Consumer expressly requests service to begin during the withdrawal period, we may activate it immediately after payment confirmation. On later withdrawal, the Consumer may owe only the proportionate price for service actually supplied before withdrawal, provided the required prior notice was given. We refund payments, less the lawful proportionate amount, within 14 days using the same payment method unless the Consumer expressly agrees otherwise. We do not apply the exception for one-off digital content to an ongoing digital service.
Digital-service conformity. ECoding is responsible for supplying a digital service that conforms throughout the agreement to agreed and statutory requirements for functionality, compatibility, accessibility, continuity, and security. A Consumer may require a defect to be corrected free of charge within a reasonable period, normally no later than 30 days after notice unless an objective circumstance beyond our control justifies longer. The Consumer has a statutory right to an appropriate price reduction or withdrawal in applicable cases. A price reduction or refund is paid within 14 days. The Consumer provides only reasonable, necessary, least-intrusive technical cooperation to identify the cause.
Request for redress and alternative dispute resolution. A Consumer may request redress if dissatisfied with a defect response or if they believe we infringed their rights. If we reject the request or do not respond within 30 days, the Consumer may refer the matter to an applicable alternative dispute resolution entity. For general services, this is principally the Slovak Trade Inspection; the official list is available on the Slovak Ministry of Economy website.
No disclaimer, damages exclusion, liability cap, third-party claim indemnity, exclusive jurisdiction clause, or other provision applies to a Consumer to the extent it would restrict mandatory rights. A Consumer may also bring a claim before any court available under mandatory consumer-protection jurisdiction rules.

Warranties and liability for professional Customers
This section applies only to the extent permitted by law and does not limit section 12. Unless an express written warranty is given, the Service is provided to a professional Customer "as is" and "as available". We do not warrant uninterrupted operation, perfect accuracy, or fitness for a specific workflow.
Neither party in a professional relationship is liable for indirect or consequential loss or loss of profit, revenue, goodwill, anticipated savings, or data. ECoding's total aggregate Service liability in any 12-month period is limited to fees paid or payable for the Service during the 12 months before the event giving rise to liability.
The exclusions and cap do not apply where liability cannot lawfully be limited, including wilful misconduct, fraud, death or personal injury, or mandatory data-protection liability. A professional Customer will indemnify ECoding for third-party claims to the extent caused by its unlawful Customer Content, instruction, application, or material breach of these Terms.

General provisions and governing law
You may not assign the agreement without our consent. ECoding may assign it to an affiliate or with a reorganization or transfer of the relevant business where the assignee assumes the obligations and Consumer rights are not reduced. The parties are independent contractors, and the agreement creates no third-party beneficiary rights.
If a provision is invalid or unenforceable, it is severed or adjusted only as necessary, and the remainder continues. Failure to enforce a right is not a waiver. The agreement is the entire agreement on its subject and prevails over unilateral boilerplate in a Customer purchase order.
The agreement is governed by Slovak law. For a professional Customer, the competent courts of the Slovak Republic have exclusive jurisdiction. A Consumer retains the protection and courts available under mandatory law, including the law of their habitual residence where applicable.
The Slovak language version is legally binding. English, Hungarian, and German translations are provided to aid understanding. If meanings differ, the Slovak version prevails unless mandatory law requires otherwise.
